General: The following terms and conditions are applicable to all sales by Flanders Corporation (“FC”) in addition to the terms and conditions contained in any written quotation from delivered or performed by FC. Any notice or other communication required or permitted hereunder shall be deemed sufficiently given if sent in writing by registered or certified mail, postage prepaid to the other party hereto at its respective address shown on the face of the quotation. Any such notice, if so mailed, shall be deemed to have been received on the third business day following such mailing. Either party hereto may change its address for notice purpose by written notice to the other party. This agreement may not be assigned or otherwise transferred without the prior written consent of FC. Any such assignment without such prior written consent shall be null and void and of no force or effect whatsoever. Pricing Prices are subject to change without prior notice. Price changes are effective on a specific date and will be billed at the revised price. Orders received prior to this specific date will be shipped within 60-days. Packaging All products are packaged in standard quantities per carton. See price list for specific quantities on each product. Shipments will be made in multiples of these quantities. ORDERS FOR LESS THAN FULL CARTON QUANTITIES WILL BE RAISED TO FULL CARTON MULTIPLES. A service charge may be added to orders requesting non-standard packaging, labeling, stamping, special dies, etc. Such orders may be subject to special increased pricing and terms. Palletizing Any request for palletizing of cartons is subject to a $25.00 charge per pallet for materials and special handling of cartons. Minimum Order Charge Purchase orders must amount to a minimum of $100.00 net. (This is the total amount for your entire order, any combination of Flanders Precisionaire products). Total orders for less than this amount will be raised to the $50.00 minimum for billing. Add-On Orders Add on orders will be accepted as long as the original has not been entered for production. In this event, a new order will be processed and placed on the production schedule. Every effort will be made by Flanders staff to ship the add-on order with the original purchase order. Terms of Sale All sales are 1% 10 Net 30 Days subject to approval. Invoices carry a date corresponding to the date of shipment. Applicable finance charges will be assessed to all past due accounts. All purchases are subject to collection fees, court costs and attorneys’ fees if unpaid. Int’l Terms of Sale All International sales are subject to letter of credit. Remittances should be coded with the applicable invoice number so that credit may be applied to the proper charge for each account.
